Terms of Service

These Terms of Service (“Terms”) form a legal agreement between you and Lugji Limited / 錄記有限公司 (“Lugji”, “we”, “us”) regarding your use of the Lugji iOS application and the lugji.app website (together, the “Service”). By downloading, installing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Lugji is a voice-to-text, meeting-notes, and recording tool that runs primarily on your device:
- Recording, speech recognition, and content processing happen locally on your iPhone (AI summaries use Apple’s on-device models).
- Processed content can be written into an Obsidian vault you choose (in your own iCloud Drive, under your control).
- Lugji operates no servers — your meeting content, audio, and encryption keys are never transmitted to Lugji and Lugji cannot access them.
- The handling of the limited technical data needed to operate the Service (e.g. website analytics, email communications) is described in our Privacy Policy (Section 8).
2. Licence to Use
We grant you a limited, revocable, non-transferable, non-exclusive licence to use the Service on Apple devices you own or control, for personal or internal business use only. You may not: sell, resell, or rent the Service; reverse-engineer, decompile, or circumvent the app; remove any trademark or proprietary notice; or use the Service unlawfully.
3. Prohibited Uses
You may not use the Service for any unlawful surveillance, covert eavesdropping, fraud, harassment, invasion of privacy, unauthorised collection of personal data, breach of employment or confidentiality obligations, or any other unlawful or infringing activity. You are responsible for the lawfulness of how and why you use the Service.
4. Your Content and Recording Responsibilities
- Your content is yours. Your recordings, transcripts, and notes are stored primarily on your device and your own iCloud Drive; Lugji cannot access them.
- Consent to record (important). You confirm that, before using Lugji’s recording features, you have obtained all consents, authorisations, or permissions required under applicable laws, regulations, contracts, or professional codes (including any consent required to record other people’s conversations). Lugji does not monitor, review, or verify whether any recording has been lawfully authorised. Lugji is not responsible for any liability arising from your recordings.
- You are responsible for ensuring your content and use are lawful and do not infringe others’ rights.
5. AI and Transcription Accuracy Disclaimer (important)
- Speech-to-text, AI summaries, action items, and similar features may contain errors, omissions, or inaccuracies, particularly with Cantonese, code-mixing, technical terms, accents, or noisy environments.
- Lugji does not warrant the completeness, accuracy, reliability, or fitness for purpose of any output; outputs are for reference only and are not professional advice.
- If you are a legal, medical, financial, or other professional, you must not rely on Lugji’s output as the sole basis for any decision; you must independently verify any content used for professional, legal, or critical purposes.
- You are solely responsible for judging, and bear all risk arising from reliance on, any output. Lugji is not liable for any consequences arising from reliance on transcripts or AI output.
6. Subscriptions and Payment
- Free: a free tier with reasonable usage allowances (specific limits introduced together with Plus).
- Plus: offered via Apple App Store in-app purchase (IAP), auto-renewing. Your Apple account is charged before each renewal period unless you cancel at least 24 hours before it ends. Subscription management and cancellation are handled through your Apple ID / App Store settings. Prices are as shown on the App Store.
- Ultra: a security / encryption licence for enterprises and professionals, offered outside the app (direct sales → Stripe payment link → licence code); it is not an in-app purchase. Licence terms and pricing are agreed individually.
- Except where required by applicable law or Apple policy, payments are generally non-refundable. Refund requests are governed by the Apple App Store refund policy.
7. Third-Party Services
The Service relies on third parties including Apple, iCloud, and the Obsidian app you choose to use. These have their own terms, which apply when you use the related features. Lugji is not responsible for the availability or behaviour of third-party services.
8. Privacy
Our handling of personal data is governed by our Privacy Policy, available at lugji.app/privacy.
9. Intellectual Property
The Service, its software, design, and trademarks (including “Lugji” and “錄記”) and all related intellectual property belong to Lugji or its licensors. These Terms transfer none of those rights to you.
10. Disclaimer (“As Is”)
To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or uninterrupted operation.
11. Limitation of Liability
To the maximum extent permitted by law, Lugji is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or business interruption. In any event, Lugji’s total liability under these Terms shall not exceed the greater of HK$100 or the amounts you paid Lugji for the Service in the 12 months before the claim.
12. Export Control and Sanctions
You may not use the Service in any territory subject to applicable trade sanctions, or in any manner that violates applicable export-control or sanctions laws.
13. Termination
You may stop using and delete the Service at any time. We may suspend or terminate your access if you breach these Terms. The sections on Your Content and Recording Responsibilities, the AI Disclaimer, Intellectual Property, the As-Is Disclaimer, and Limitation of Liability, and any others that by their nature should survive, continue after termination.
14. Changes to These Terms
We may revise these Terms from time to time. Material changes will be announced via the app or website, and the “Effective date” above updated. Continued use after changes take effect means you accept the revised Terms.
15. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes are subject to the jurisdiction of the Hong Kong courts.
